not sure

I hope someone can answer this question,, I am at the end of my rope.. first off my computer runs real slow.. after some time it will freeze up and from inside the case there is a beep that lasts until I shut it off with the button..
I am using windows xp professional..
I just had the mother board replaced..
Have good antivirus and spyware malware scanner
Can anyone give me an idea of what is happening?
