Ok I installed a video card    
Diamond Multimedia ST64VDVRM PCI E3 220 2+    
XP PRO installed driver S3 Vision968
Compaq MB AMD Duron 850 MHz pro  384 MB RAM
I get this code though

This device cannot find enough free resources that it can use (Code 12)

If you want to use this device, you will need to disable one of the other devices on this system.

Can anyone help?

Does this mean you have 2 videos.  One onboard (integrated) and the Diamond PCI?  If this is the case, try installing the Diamond PCI video in PCI Slot #1, usually the one closest to the CPU.

No there isn't any on-board video integrated video  and  I placed it into slot 1

I guess I'm not making myself clear.  Does this Compaq have an AGP slot that is not being used?

Yes it does have an AGP slot that is not being used. The only other device I have hooked up to this system is a modem ( cause I live in BFE and have no high Speed other than sat at the moment). Now I did follow the trouble shooter:  device mgr/ from view device by type to View device by resource/ double clicked memory and this is what is there:

If you double click any of these then click the resource tab none of these show any conflicts, except the S3  Vison968. All it shows under the resource tab is:

Resource Settings:
This device cannot enough free resources that it can use.
If you want to use this device you will need to disable one of the other devices on this system.

Now following the trouble shooter it says something about Configure one or more devices to use different resources but nothing is conflicting. Now under DMA, (IO), or (IRQ)  there is nothing for the Vid Card.

Also the Vid Card I had befor this was only an 8meg but it was an AGP style card.

Go to BIOS and find setting for "select 1st video", something like that. Select PCI, instead of AGP.  This should disable AGP and free up PCI resources.  AGP is not independent of PCI and uses PCI resources.

What happened to the AGP card?

Ok in bios I either do not have that option or cannot find it. This is what  is listed in my bios

Been looking at your resource map.  I think resources must be contiguous (next to each other) for each device.  I've been trying to compare it to mine.  I have 2 video cards and 5 PCI slots.

How many PCI slots do you have?  Move the modem to the last slot.

I have 3 PCI slots and 1 AGP slot

No disrespect, but this does not appear to be much of a "gaming" computer.  Don't expect to see much difference, even with this new video card.

Maybe better to keep this one for General Use and get another just for gaming.

I forgot, this is a Compaq, they have their own BIOS and did not plan on having AGP turned off.  There might be a jumper on the motherboard to turn it off.

Why didn't you get an AGP card?  It would have been a lot easier.

Well this particular card was free LOL   A friend bought himself another one and offered me this one so I took it. Your right about one thing though  I do need to upgrade this comp.  but as far as the games that I play I don't need too much just thought this would help some. It seems to have been a bigger pain in the *censored* than I thought it would be. I guess that is what makes this kind of stuff interesting. When something doesn't work I wanna know why it doesn't, then I wanna know what it takes to fix the problem. I was taught that you can NEVER learn enough no matter what you  think you already know.

Put both video cards in.  Windows allows multiple video cards and monitors.  It should boot to the AGP, then you can switch to the PCI.  Maybe you can find a free monitor somewhere so you won't have to move the monitor cable.  Everyone is throwing away CRTs for flat panel displays.

I really don't understand why this isn't working.  My computer is older than your's and dual monitor function operates with no problem.

Post the Compaq model number and I'll see what I can dig up.

Ok I did what you suggested and the computer would never let me go into dual monitor. I think it might be due to the fact that the video isn't actually installed. I mean there is a driver loaded but I have the error message(not sure if thats the case or not).  Now I put in a different PCI video card and it worked like you said it should. Although dual function isn't what I'm trying to gain. I just simply wanted to swap Video Cards.

Now you asked me about the model compaq I had. Now thats a totally different topic.  You see, I bought this board and processor at a small comp shop (second Hand) Now before coming here for help with the video card I went to the compaq/hp website to look for updates. for about 3 days (off and on) I looked to try and figure out my model and all. finally I went into tech support chat and was given a link to ASTRA32 v 1.11. He told me that this will pull all info from my comp. ie  model, serial, bios version, usb version, anything and everything.  but the stupid thing WILL NOT WORK. I have uninstalled it re-installed it  deleted it re-downloaded it then re-installed it with no  change. It keeps freezing I pulled the download onto a floppy and it worked on 2 other comp's I have fine.  1 IBM board and 1 compaq Board.  So needless to say I can't get you the model info on the Board.

For some reason, the video card you were given is just not going to play nice with your computer.

I guess this is a Diamond Stealth 64, but this model is not listed on their website.

ok I think that I found the correct driver not  sure but once I get it downloaded and installed I will let you know.

There was no compaq box for the board when I bought it. Although after I removed the PCI vid card, just for kicks I ran the astra32 program again. This is what it gave me:
