If you weren't doing anything, a background process consumed all your RAM, this points to malware, to me.

it should appear when your doing some things and if there are to many things running in the back ground

as i said i would get it about every 2/3 months and my pc has always been clean

the number if times I've EVER seen it I could count on my hand- and I ran XP with 96MB of RAM.

876543219, next time you get this message, check task manager->processes tab, and see what is consuming the most memory.

I have only dealt with that message in two scenarios: McAfee software causing conflicts...and infections.  I've never managed to have enough programs running to cause this error.  I'm not saying that it's an infection, but it's a possibility.  Even if it's not, there's still an issue somewhere.  I would suggest following BC's advice.
