I have windows 2003 server. Networking is on domain system. I want to create one folder in the server as following attributes.

    - none can directly enter inside it from workstation. It should ask user name and password to login into this folder. the users who are granted to access he may go direclty.

      Just remove "Everyone" from that.

Those who want direct access, put them in a group and add that group there.
Also add one more user, for those who are not in that gorup.

Right click the folder, go to properties and go to the securities tab.  Set the users you don't want to acess the folder to deny on all sections, only giving administrator (or whoever you want) full control.  That should do it for you.
