The NTFS  has more security than FAT32.
What is the error message you see?

      error code 80040265

This issue may occur if any of the following conditions are true:

          * Windows Media Player does not support the file format or the codec of the media file you are trying to play.
          * Some of the Windows Media Player files are missing or damaged.
          * The media file is damaged.
          * The media file uses a codec that is not installed.
          * The operating system does not have audio capabilities. For example:
o There is no audio device in the computer.
o The correct audio device driver is not installed or is disabled.
o You are using both Windows NT and Windows 2000 Terminal (this configuration has no audio capabilities).
o Windows XP Terminal is configured to not play audio.

You should have told us at that start that you were downloading from http://www.rapidshare.com
This site is not something that I would use or endorse. You need to read the contract you heave with them to see if you are in compliance with their rules. It is a "subscription service" that requires you to pay a small monthly fee.
Don't expect anyone here help you "crack" their service.  >:(

I'm almost tempted to simply say something rude here, but I won't.

I believe the OP is now having problems playing any file; and thus wants somebody else to make sure it isn't the file that is broken, or something.

the problem is codecs are missing. either reinstall WMP or install codecs.

BC, go ahead and say what you think.
If I am wrong, it is I, not you that is being rude.
The site he gave is by subscriptions. It is up to the user to save the files in a format that does not require a key.If that is allowed. He should have unlocked all the files before he re-formatted his machine.
If this is really a problem with the OS he can do this:
        http://support.microsoft.com/kb/308421
Which is about taking ownership of a files and folders by the System Administrator in Windows XP.

Otherwise, he should go to the site and make sure his subscription is up to date and he has the keys installed on his machine.

he already has the MP3 file, I believe he uploaded it so that we could "examine it" for problems.

Which wouldn't really help, since the files are likely intact anyway.

You could be completely wrong; but that wouldn't justify a rude response. Besides, I like to air on the side of caution myself, in case it is later proved that I am an idiot later on in the thread, which has happened at least once.

And if it requires a subscription to download, they were wasting their time (and ours).

        let's start over here though.

What kind of files? we still don't know what format they are.

Do you have an audio device installed?

He should just move all the offending files into a seperate directory...burn them to CD just in case they're valuable and then convert them from FAT32 to NTFS...
