      The same thing happened to me awhile ago.  When that happens hurry and do this...Start>Run>cmd>then type <shutdown -a> without the <>'s.  This should stop the countdown and let you try to figure out what went wrong.

      This is typically connected to a Windows update.  Certain updates auto-restart your computer and give you a warning before this happens.  You can disable this feature through the Group Policy Editor.

      Start-->Run.  Enter "gpedit.msc"

      Go to Local Computer Policy-->Computer Configuration-->Administrative Templates-->Windows Components-->Windows Update.  Find "No auto-restart for scheduled Automatic Update installations".  Right-click-->Properties.  Set to "Enabled".

        thanks worked!!!
        I also figured out on another site that while it's happening, open the date/time properties and change the year back one!! As soon as you change it, the shutdown thingy says- "shutdown in 364 days!!"

        The group policy change is permanent so you won't need that trick.  ;)
