I have a biostar motherboard with a 2.8 P4 and 2 gig ddr ram, maxtor 320GB sata harddrive, it keeps freezing, especially when using alot of ram, after trying all software fixes and removing all hardware possible (digital video card, sound card, TV in card) and it still freezing i decided to reformat but it freezes even then, and i have reset my bios, any incite would be appreciated

Have you tired to take out the HD and slave it from another PC to reformat it?

Formatting will erase all your data...
As long as you're not concerned about this we can proceed.
First thing i would do is DLoad Seatools diagnostics from their site to create a bootable CD/floppy and run them on that HDD to see if it has failed or not.
When did the freezing issues start ? ?

There can be numerous reasons for freezing so provide as much detail as you can.
