computer does not start when turned on.........

I'll turn on the computer but it only starts about 2 hrs later...serious ...starts normally and runs fine, however the time  and date is way off... sometimes like 2 days. I've changed the cmos battery and it started on time at first, after about one week it resorted to the delayed start. Could this be a mobo problem? a processor problem? ..on eventual start up there's an "overclocking failed" notice.....I'm lost can someone shed a little light here?

Intel p4 2.81 GHz..socket 478, Asus P4P800S mobo, ATI radeon 7000 series video  card, 1gb ram,  xp pro sp3

    cau you try reinsert your RAM.. :)
