Intel processors shut down if the heat is too great (thermal protection). I would start with checking the heat sink/fan. Are there any jumpers you have to set on the mnotherboard? Are you 100% positive that processor is compatible with that motherboard?

No..I've since changed the RAM this is a new problem
It shuts off after about 15 seconds with the new RAM

Man thanks for the tip!  I had the heat sink spun 90 degrees the wrong way any it must have been overheating.  It's loading Windows right now and I couldn't be happier to get these two out of my house should start building another one next week.  I'd like to keep reading and posting to learn more hope that's on the up and up with everyone?  I'll just shutup and listen!
