Run an OS repair; in this case, run an XP repair. It should fix whatever missing or corrupt windows files there are.

Forgive me but I am not that savy.  Is an XP repair something that I can do myself or will I need to take it to a repair outlet?

        Isn't it rather agp440.sys?

          Repair Install of XP...

thank you for the link, my problem is that the system is about 8 years old and XP came preinstalled so cannot use XP disc.  looked through the link but could not see any reference to no disc problem.  Cheers again

            Download Windows Recovery Console: http://www.thecomputerparamedic.com/files/rc.iso
Download, and install free Imgburn: http://www.imgburn.com/index.php?act=download
Using Imgburn, burn rc.iso to a CD.
Boot to the CD...let it finish loading.
When the "Welcome to Setup" screen appears, press R to start the Recovery Console.
Then, follow steps from here: http://support.microsoft.com/kb/324764 starting at step #3.
