Problem trying to reformat

I'm trying to reformat windows xp on my laptop. I put in the CD and boot from the CD. During windows setup i get different errors everytime. These are the errors in the order I got them...

1: STOP: c0000221  Unknown Hard error\SystemRoot\System32\ntll.dll
2: Acpi.sys is corrupted
3: Vga.sys is corrupted
4: STOP: c0000221  Unknown Hard error\SystemRoot\System32\ntll.dll

I quit trying after that. Some things i might mention are that before I get the error, the disk in the cd drive starts beeping and sounds like it is having a hard time starting up. I am wondering if maybe the CD drive is bad? I checked the disk and it's perfectly clean so i don't think it's the disk... Any thoughts???

    Yeah...  I have some thoughts...

    Why did you decide to install (reinstall?) Windows XP?

    Are you using a Microsoft retail CD, an OEM install CD, or an OEM recovery/restore CD?

    During what part of windows setup do you encounter errors?  Or alternatively, how many minutes into the setup process are you before you error out?

    Try a different bootable CD.  For example, a bootable memory test CD (www.memtest86.com).  That would test basic functionality of your CPU, memory, CD reads).
